Waiver of Shareholders Meeting to Approve Cresco Labs Transaction

In connection with the previously announced agreement with Cresco Labs Inc., Columbia Care plans to hold its special meeting of Columbia Care stockholders on or about June 14, 2022 to consider such a transaction. In connection with the meeting, Columbia Care has filed a petition with the Ontario Securities Commission (the “OSC”) for an order from the OSC exempting Columbia Care from the requirements of subsection 8.1(1) of Multilateral Instrument 61-101 – Protection of minority shareholders on special transactions to obtain minority approval of the transaction from the holders of each affected Columbia Care share class, voting separately as a class in each case.
